Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CloudStore cloud store and point-of-sale platform (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Accounts & Eligibility

You must provide accurate registration details and are responsible for all activity under your account and for keeping your credentials secure. You are responsible for the staff accounts you create and their access levels. You must be authorised to operate the business you register.

2. Subscriptions, Plans & Billing

• The Service is offered on subscription plans with defined limits (e.g. number of users, branches, and products). Plan limits are enforced by the Service.
• Fees are billed in advance for the chosen billing cycle (monthly or yearly). Base prices are set in Naira (₦) and may be displayed and charged in your local currency at the platform's published exchange rates at the time of payment.
• Payments are processed by Paystack or Stripe. By subscribing you authorise the applicable charges.
• Except where required by law, fees already paid are non-refundable.

3. Renewals, Grace Period & Expiry

Subscriptions continue for the selected cycle. When a subscription lapses, your account enters a short read-only grace period and is then downgraded to a free read-only tier: you can still sign in and view or export your data, but changes (such as recording sales or editing inventory) are disabled until you renew. Renewing restores full access.

4. Acceptable Use

You agree not to: (a) use the Service for unlawful purposes; (b) attempt to access data belonging to other businesses on the platform; (c) probe, scan, or breach security or authentication measures; (d) upload malware or interfere with the Service; (e) resell or provide the Service to third parties without authorisation. We may suspend accounts that violate these Terms.

5. Your Data & Ownership

You retain ownership of the business, product, sales, and customer data you enter ("Your Data"). You grant us a limited licence to host and process Your Data solely to provide the Service. You are responsible for the lawfulness of the data you upload, including personal data of your staff and customers. Our handling of personal data is described in our Privacy Policy.

6. Service Availability

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, and improvements. Features may change over time.

7. Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of any kind to the maximum extent permitted by law. We are not liable for indirect, incidental, or consequential losses, or for loss of profits, revenue, or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the three (3) months preceding the claim. You are responsible for keeping your own records and reconciling your accounts.

8. Suspension & Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, non-payment, or where required by law. On termination, your right to use the Service ends; we will make Your Data available for export for a reasonable period unless prohibited by law.

9. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted here with a new "last updated" date; continued use after changes take effect constitutes acceptance.
